1. Introduction

Welcome to Thynk Medical Logistics, a DBA of Thynk Digital Solutions, LLC (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, services, communications, and related content (collectively, the “Service”).
By accessing or using our website at https://www.thynkmedical.com/ or engaging with our services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service immediately.

2.1 Interpretation

Words with capitalized initial letters have meanings defined below, whether they appear in singular or plural form.

  • Affiliate – Any entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of at least 50% of equity or voting interests.
  • Company – Thynk Digital Solutions, LLC, operating under the DBA Thynk Medical Logistics.
  • Country – The State of Maryland, United States.
  • Device – Any device capable of accessing the Service, including computers, smartphones, or tablets.
  • Service – The website, communications, and logistics or transportation services provided by Thynk Medical Logistics.

  • Operational or account-related communications
  • Marketing or promotional messages only where explicit consent has been provided
  • Security or verification messages, including two-factor authentication (2FA), where applicable

5. Links to Third-Party Websites

6. Termination

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, misuse the Service, or engage in unlawful or harmful conduct. Upon termination, your right to use the Service will cease immediately.

7. Limitation of Liability

To the fullest extent permitted by law, Thynk Medical Logistics and Thynk Digital Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
  • Loss of profits
  • Business interruption
  • Loss of data
  • Loss of goodwill
Our total liability under any claim shall not exceed the amount paid by you for the Service during the preceding twelve (12) months or $100 USD, whichever is greater.

8. “AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

9. Healthcare, Laboratory, and Regulated Services Disclaimer

Thynk Medical Logistics provides logistics, transportation coordination, and operational support services related to medical, laboratory, and healthcare materials.
We do not provide:
  • Medical care
  • Clinical services
  • Diagnostic services
  • Medical advice or decision-making
All clinical, diagnostic, and healthcare decisions remain solely the responsibility of the contracting healthcare entity.

10. HIPAA & Protected Health Information (PHI) Disclaimer

Thynk Medical Logistics is not a Covered Entity under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”).
In limited circumstances, Thynk Medical Logistics may act as a service provider or subcontractor that could incidentally encounter patient-related information while performing logistics or transportation services. Accordingly:
  • We do not request or require Protected Health Information (PHI) unless explicitly required under a written agreement
  • Any PHI incidentally encountered is treated as confidential and safeguarded using commercially reasonable administrative, technical, and physical measures
  • HIPAA compliance obligations remain the responsibility of the Covered Entity or contracting healthcare organization
Nothing in these Terms shall be construed as a representation of HIPAA compliance unless a separate, written Business Associate Agreement (BAA) is executed.

11. Business Associate Agreements (BAA)

Where required by law or contract, Thynk Medical Logistics may enter into a Business Associate Agreement (BAA) with qualified healthcare organizations.
No HIPAA-related obligations are assumed unless:
  • A written BAA is fully executed by both parties, and
  • The scope of services explicitly requires access to PHI
Absent a signed BAA, services are provided strictly as non-clinical logistics services.

12. Data Handling & Minimum Necessary Standard

When information is exchanged in connection with healthcare or laboratory services, both parties agree to adhere to the minimum necessary standard, limiting shared information to what is operationally required.
Clients agree not to transmit:
  • Full medical records
  • Diagnoses or treatment notes
  • Clinical interpretations or unnecessary patient identifiers
unless explicitly authorized under a written agreement.

13. Chain of Custody & Transport Responsibility

Thynk Medical Logistics takes commercially reasonable steps to maintain chain-of-custody standards appropriate for logistics services, which may include:
  • Pickup and delivery confirmation
  • Secure handling during transit
  • Operational documentation
However, Thynk Medical Logistics does not guarantee clinical integrity, test validity, or diagnostic outcomes, which remain the responsibility of the originating or receiving healthcare entity.

14. Regulatory Compliance Responsibility

Clients are solely responsible for ensuring compliance with:
  • HIPAA and applicable privacy laws
  • State and federal healthcare regulations
  • Laboratory, clinical, and accreditation requirements
Thynk Medical Logistics’ role is limited to logistics and transportation services unless otherwise specified in a signed agreement.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved informally. If unresolved, disputes shall be resolved through binding arbitration in the State of Maryland, unless otherwise prohibited by law.

16. Compliance with U.S. Laws

You represent and warrant that you:
  • Are not located in a country subject to U.S. government embargo
  • Are not listed on any U.S. government restricted or prohibited parties list
 

17. Severability & Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any right or provision shall not constitute a waiver of future enforcement.

18. Changes to These Terms

We reserve the right to update or modify these Terms at any time. If material changes are made, we will provide reasonable notice where required by law. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
